These Terms of Service (“Terms”) govern your access to and use of the website located at rupa.pro and all related services provided by Rupa LLC, a Wyoming-registered company (“Rupa,” “we,” “us,” or “our”).

By accessing the website or using our platform, you agree to these Terms. If you disagree with any part, you must stop using Rupa.

1. Eligibility

You must be at least 18 years old to use Rupa. By using our services, you confirm you meet this requirement.

2. Limitations of Use

You agree that you will not:

Reverse engineer, modify, or copy the platform or its materials;
Remove copyright notices;
Resell or mirror the service through another server;
Use Rupa to send spam, harmful code, or unlawful content;
Use Rupa's third-party integration features, including but not limited to Instagram automation, calendar integrations, and email features, to send spam, unsolicited messages, harassment, or any content prohibited by the connected platform's terms of service;
Violate any applicable laws or use the services for fraudulent activity;
Collect data from other users without consent;
Disrupt platform operations or attempt unauthorized access.

We reserve the right to terminate or restrict access for violations.

3. Intellectual Property

All content, trademarks, branding, code, and materials provided by Rupa are owned by or licensed to Rupa LLC.

We grant you a limited, non-exclusive, revocable license to access and use the platform for your personal or business use. This license ends automatically if you breach these Terms.

4. User-Generated Content (“UGC”)

Creators and users may upload content such as digital products, files, text, and media.

You retain ownership of your content, but by uploading it you grant Rupa a worldwide, royalty-free, sublicensable license to use, host, store, modify, reproduce, distribute, and display that content as needed to operate the platform.

If you delete content, the license ends, except for prior uses already performed.

The license you grant in this Section includes the right for Rupa to process your content and incoming third-party communications, such as comments and direct messages received through connected integrations, using AI service providers solely to provide the features you have enabled, in accordance with our Privacy Policy and AI Transparency notice.

You represent that you own all rights to the content you upload and that it does not violate any laws or rights of others.

5. Payments, Fees, and Stripe Connect

Rupa uses Stripe Connect to process payments between creators and their customers.

By using the platform you agree to:

Stripe’s Terms of Service;
Creation of a Stripe Connect account;
Stripe’s handling of payouts, refunds, and chargebacks.

Rupa does not hold customer funds. All transactions flow through Stripe, and creators receive payouts directly from Stripe.

Rupa charges platform fees as listed on our pricing page. Fees may change, and we will notify users when changes occur.

Creators are responsible for:

Setting product prices;
Delivering their digital goods;
Tax compliance (sales tax, VAT, GST, etc.);
Refund and chargeback handling.

6. Affiliate Program

Rupa may offer affiliate programs for creators or promoters. If you participate:

Commissions, rates, and eligibility requirements are defined in your affiliate dashboard;
Fraudulent activity, including self-referrals or misleading promotion, is prohibited;
Rupa may suspend or terminate affiliate participation at any time;
Payouts are processed through Stripe or another designated method.

6.5 Third-Party Platform Integrations

Rupa allows creators to connect third-party platforms, including Instagram, Google Calendar, and others we may add, to enable additional features such as automated messaging, content scheduling, and booking management.

When you connect a third-party platform to Rupa, you agree that:

You comply with that platform's terms. Your use of Rupa to interact with a connected third-party platform must comply with that platform's terms of service, developer policies, and community standards. For Instagram, this includes Meta's Platform Terms, Instagram Community Guidelines, and Instagram Platform Policy. Violations of platform terms, including those that result in your platform account being restricted or banned, are your responsibility, not Rupa's.
You have authority to connect the account. You represent that you own or are authorized to manage any third-party account you connect to Rupa.
You authorize Rupa's actions on your behalf. When you configure an automation, schedule, or other automated action, you authorize Rupa to take that action through the connected platform's API on your behalf, using the credentials you have authorized. You remain responsible for the content and consequences of those actions.
You comply with applicable communications laws. Automated messaging features may be subject to laws including, but not limited to, the U.S. CAN-SPAM Act, TCPA, EU GDPR and ePrivacy Directive, the EU AI Act, the California Consumer Privacy Act, and similar laws in other jurisdictions. You are responsible for ensuring your use of Rupa's automation features complies with all such laws, including any disclosure or consent obligations.
You are the data controller for your audience. When followers, customers, or other third parties interact with you through Rupa, including by sending messages, commenting, booking appointments, or otherwise, you are the data controller for that data and Rupa acts as a data processor on your behalf. You are responsible for any required notices to your audience about automated communications and data processing.
No spam, harassment, or unsolicited messaging. You agree not to use Rupa's automation features to send spam, unsolicited bulk messages, harassment, deceptive messages, or content that violates any platform's anti-spam rules. We may suspend or revoke your access to integration features if we detect or receive credible reports of such use.
Disconnection. You may disconnect any third-party integration at any time in Account Settings. Upon disconnection, Rupa will cease accessing data from that platform and will delete data received from that platform within 30 days, except where retention is required by law.
Platform changes. Third-party platforms may change their APIs, terms, or available features at any time. We may modify, suspend, or discontinue integration features in response, with reasonable notice where practical.

7. Disclaimer — No Support Obligation

Rupa strives to maintain a reliable platform, but we do not guarantee:

Uninterrupted access,
Error-free performance,
Support availability at specific times,
Or compatibility with all devices.

We may provide support voluntarily, but we are not obligated to offer customer service, account assistance, or technical help beyond what we choose to provide.

8. Warranty Disclaimer

The platform is provided “as-is” and “as-available.”

To the fullest extent allowed by law, we disclaim all implied warranties, including fitness for a particular purpose, merchantability, and non-infringement.

9. Limitation of Liability

To the maximum extent allowed by law, Rupa LLC is not liable for any:

Lost profits or revenue,
Lost data,
Business interruption,
Indirect or consequential damages.

Our total liability for any claim shall not exceed the amount paid to us by the user in the past twelve (12) months, or $100 if no payments were made.

Some jurisdictions do not allow such limitations; in those cases, the limitations apply only to the extent allowed.

9.5 Indemnification

You agree to indemnify, defend, and hold harmless Rupa LLC, its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or related to:

Your use of the Services, including any automated actions you configure;
Your content or communications sent through the Services, including automated messages and comment replies sent on your behalf;
Your violation of these Terms or any third-party platform's terms, including Meta Platform Terms;
Your violation of applicable law, including communications, privacy, and consumer protection laws;
Your infringement of any third party's rights.

Rupa reserves the right to assume the exclusive defense of any matter for which you have indemnification obligations, in which case you will cooperate with us in asserting any available defenses.

10. DMCA / Copyright Infringement (U.S. Requirement)

Because Rupa hosts user-generated content and operates in the United States, we comply with the Digital Millennium Copyright Act (DMCA).

If you believe content on Rupa infringes your copyright, send a notice to:

Identification of the copyrighted work;
Location of the allegedly infringing content;
Your contact details;
A statement of good-faith belief;
A statement under penalty of perjury that your claim is accurate;
And your physical or electronic signature.

We may remove or disable access to the contested material and, where appropriate, terminate accounts of repeat infringers.

11. Notice to California and International Users

If you are a California resident:

You may request information about third parties to whom we disclose personal information for marketing purposes.
You may request deletion of certain data as permitted under California law.
You may not be discriminated against for exercising privacy rights.

If you are located in the European Union, United Kingdom, or other jurisdictions with comprehensive data protection laws, you may have rights including access, correction, deletion, restriction of processing, data portability, and the right to object to certain processing. To exercise these rights, please refer to our Privacy Policy or contact hi@rupa.pro.

If you use Rupa's automation features to interact with audiences in these jurisdictions, you may have additional obligations under local law, including obtaining consent and providing required disclosures. You are responsible for compliance with such obligations.

12. Accuracy of Materials

Materials on the platform are provided for general information only.

We make no guarantees as to accuracy, reliability, completeness, or timeliness.

13. Links to Third-Party Sites

Rupa may contain links to third-party websites. These are provided for convenience only.

We do not endorse or control these sites and are not responsible for their content or policies.

14. Right to Terminate Accounts

We may suspend or terminate your access to Rupa at any time, for any reason, including:

Terms violations;
Fraudulent or abusive behavior;
Legal or regulatory issues;
Violations of third-party platform terms, including Meta's Platform Terms, when using Rupa's integration features;
Use of automation features in ways that risk creator account safety, recipient harm, or platform suspension;
Inactivity.

Upon termination, all rights granted to you end immediately.

15. Modifications to the Terms

We may update these Terms at any time. If we make material changes, we will notify users.

Continued use of the platform after changes are posted means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

You agree to submit to the exclusive jurisdiction of the courts located in Wyoming.

17. Assignment

We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

You may not assign your rights without our written consent.

18. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices posted by Rupa, constitute the entire agreement between you and Rupa LLC.
